A complementary combination designed for AI

Transaction would provide customers with greater innovation and choice, enhancing competition in networking

Where we stand

Promoting a pro-competitive and pro-customer transaction

On January 9, 2024, HPE and Juniper Networks announced a definitive agreement under which HPE would acquire Juniper in an all-cash transaction to create a comprehensive cloud-native and AI-driven IT portfolio, including a full, modern networking stack. The combination would not only drive innovation and enhance the user experience for customers but also fortify the U.S. “core tech” sector that serves as the backbone of U.S. digital infrastructure.

Fourteen jurisdictions have allowed the transaction to close, each of which unconditionally cleared the transaction and see its competitive benefits. The U.S. Department of Justice recently sued to block this combination, making the U.S. the only country that has registered any opposition.

HPE and Juniper know that joining forces will be pro-competition and pro-innovation and will vigorously contest the U.S. Department of Justice’s flawed claims. The companies are confident this deal will move forward, supported by the facts.

Get the facts

Competition for Wireless Local Area Network (WLAN) hardware and software is robust.

As customers shift to AI and cloud-driven business strategies for secure, unified technology solutions to protect their data, barriers to entry have decreased and expansion and competition for WLAN has intensified. As such, WLAN is extremely competitive with a broad set of players, all of whom are fighting for business and winning bids in competitive bid processes.

In the U.S., there are many credible WLAN competitors to HPE and Juniper – a few of which are comparable to Juniper in size and one of which has a share of over 50%. Learn more in the Gartner Magic Quadrant for Enterprise Wired and Wireless LAN Infrastructure1, available here.

As a combined company, HPE and Juniper will act as an innovation catalyst for the industry.

Through this transaction, customers will gain a comprehensive AI-driven and cloud-native IT portfolio including the networking architecture necessary to manage and simplify their expanding and increasingly complex connectivity needs.

The combined company expects to accelerate innovation across the entire networking stack by investing heavily in R&D to create more compelling solutions for customers and partners.

U.S. networking infrastructure is critically vulnerable as international players grow.

“Core tech” companies build and maintain the critical infrastructure that enables our entire modern economy and includes essential technologies like large-scale compute, semiconductors, and networking. These are essential to safeguarding national security.

HPE and Juniper’s complementary combination will create a compelling, U.S.- based alternative globally to incumbents, fortifying the American “core tech” sector that serves as the backbone of U.S. networking infrastructure.
